What is a service contract for directors?
A service contract governs the relationship between the company and a member of its statutory body. It is not mandatory but highly recommended — without one, the statutory presumption is that the role is unpaid.
How should shareholder disputes be handled?
We always recommend negotiation or mediation first. If that fails, court action under the Business Corporations Act follows. In extreme cases, the company may be dissolved.
